metricHEALTH Solutions Inc. (“metricHEALTH”, “we”, or “us”) is committed to respecting and protecting privacy. We have developed this privacy policy (“Privacy Policy”) to describe how we collect and use your information and information you share with us. When used herein, the term “Services” shall refer to any product or services we make available to or perform for you and which are confirmed as being governed by the terms of this Privacy Policy.
Please read this Privacy Policy carefully and review it periodically for the latest information about our privacy practices. If you do not agree with the practices described in this Privacy Policy, please do not provide us with personal information or interact with the Services.
metricHEALTH will routinely update this Privacy Policy to clarify our practices and to reflect new or different privacy practices, such as when we add new services, functionality or features to the Services. If metricHEALTH makes any material changes to the Privacy Policy, we will notify those who are bound by this Privacy Policy by e-mail (sent to the most recent e-mail address we have on file), by means of notice on the Services, or otherwise directly delivered to you prior to the change becoming effective.

We collect only personally identifiable information (“Personal Information”) that is relevant and necessary to the purpose of the Services. This information allows us to provide a customized and efficient experience. We collect the following types of information from the users of our Services (“Users”):
We receive and store any information a User provides directly through the Services or provides to us in any other way, including by e-mail, including as further detailed below.
Direct Communication: When a User sends an e-mail to metricHEALTH or communicates with us by telephone, we may retain their e-mail address or phone number and records of the contents of the communications.
Voluntary Disclosure: When a User chooses to provide us Personal Information, such as by filling in forms or corresponding with us, we may receive and store that Personal Information.
Non-Provision of Information: Please note that a User can choose not to provide us with certain Personal Information, but then you may not be able to take advantage of all of the Services.
From time to time, we may also ask a User to or a User may choose to provide us with non-personally identifiable information, that is, data that is not intended to allow us to identify an individual personally, such as an individual’s first name or birthday. This information may be aggregated and used for our internal purposes or otherwise shared with third parties for any lawful purpose, without permission. No third party is intended to be able to know who an individual is as a result of the use of this information.
We may automatically collect Service usage information, such as the numbers and frequency of users of the Services. This data is used in the aggregate, that is, as a statistical measure, and not in a manner that is intended to identify a User personally. Aggregate information generally is collected through the use of cookies and web beacons as discussed below. This aggregate information helps us determine general usage patterns and modify the Services in order to improve User experience. This type of aggregate information may be shared with third parties at any time.
metricHEALTH receives and stores certain types of information whenever a User interacts with the Services, including cookies and web beacons. A cookie is a text file that is placed on a User’s hard disk by a web page server. Cookies cannot be used to run programs or deliver viruses to a User’s computer. Cookies are uniquely assigned to a User and can only be read by a web server in the domain that issued the cookie to such User. One of the primary purposes of cookies is to provide a convenience feature to save Users time.
A web beacon is a small graphic image that allows the party that set the web beacon to monitor and collect certain information about the viewer of the web page, web-based document, or e-mail message, such as the type of browser requesting the web beacon, the IP address of the computer that the web beacon is sent to and the time the web beacon was viewed. Web beacons can be very small and invisible, but, in general, any electronic image viewed as part of a web page or e-mail, including HTML based content, can act as a web beacon. We may use web beacons to count visitors to the Services or to monitor how our Users navigate the Services.
In addition to the above, metricHEALTH uses web beacons and cookies to help diagnose problems with its servers, analyze trends and administer the Services. Third party service providers also may use web beacons or cookies on our Services. For instance, we may contract with third parties who will use web beacons or cookies on our Services to track and analyze anonymous usage and volume statistical information. Such information is shared externally only on an anonymous, aggregated basis.
You can accept or decline cookies. Most web browsers automatically accept cookies, but you can usually modify your browser setting to decline cookies if you prefer. If you choose to decline cookies, you may not be able to fully experience the interactive features of the metricHEALTH Services you use.
When you provide us with or cause use to be provided with information, we may use such information for a number of purposes, including:
Rest assured that we neither rent nor sell Personal Information to anyone and that we will share Personal Information only as described below.

Such third parties may be provided with access to information needed to perform their functions but may not use such information for any other purpose.
We may release Personal Information when we believe in good faith that release is necessary to comply with Applicable Law (as hereinafter defined); to enforce or apply our terms of use and other policies; or to protect the rights, property, or safety of metricHEALTH, our employees, our Users, or others. This includes exchanging information with third-parties for fraud protection and credit risk reduction.
In some cases, we may choose to buy or sell assets. In these types of transactions, user information is typically one of the business assets that are transferred. Moreover, if metricHEALTH, or substantially all of its assets, were acquired, user information would be one of the assets transferred.
metricHEALTH personnel and authorized consultants and / or contractors may have access to Personal Information, where such access is necessary in the normal course of metricHEALTH business.
No User may share or cause to be shared with metricHEALTH Personal Information of a third party (a “Third Party”) that has not been collected in accordance with applicable laws, statute, regulations, rule, ordinance, constitution, treaty, common law, judgment, decree, by-laws, codes, orders or other requirement or rule of law, including, but not limited to the Personal Information Protection and Electronic Documents Act and the Personal Health Information Protection Act (collectively, “Applicable Law”) or for which such User does not have explicit and informed consent to share with metricHEALTH. To the extent that a User uses the Services to collect or cause to be collected the Personal Information of a Third Party, it must do so in accordance with Applicable Law and at all times with appropriate disclosure and consent regarding the collection of such Personal Information.
By sharing Personal Information of a Third Party with metricHEALTH through the Services or otherwise (including by using the Services to collect or cause to be collected the Personal Information of a third party), you represent and warrant to us that such Personal Information has been collected and disclosed to metricHEALTH in compliance with Applicable Law. You further represent and warrant that such Third Party has been notified of and has agreed to the contents of this Privacy Policy or has agreed to by bound by a substantially similar privacy policy.
Individuals have a right to request access to their Personal Information and to request a correction to it if they believe it is inaccurate. If an individual would like to have access to their Personal Information which is stored by metricHEALTH, or would like to have it removed or corrected, they may contact us using the contact information provided below. Users shall ensure that metricHEALTH’s contact information is available to any Third Party whose Personal Information they collect or cause to be collected through the Services.
metricHEALTH may require identity verification before we provide an individual with access to their Personal Information. metricHEALTH will use reasonable efforts to comply with requests for correction or deletion; however, in some cases we may not be able to allow access to certain Personal Information in certain circumstances, for example if it contains Personal Information of other persons, or for legal reasons. In such cases, we will provide a reasonable explanation of why it is not possible to grant access to Personal Information.
We are not responsible for the practices employed by web sites linked to or from our Services, nor for their collection or use of any information, including Personal Information. When a User or Third Party uses a link or go from our Services to another web site or use other services, they are subject to that other web site’s or Service’s rules and policies.
metricHEALTH maintain a variety of commercially reasonable safeguards designed to protect Personal Information from unauthorized access and disclosure. For example, metricHEALTH uses industry accepted tools and techniques to protect against unauthorized access to its systems. Notwithstanding the foregoing, metricHEALTH has no control over the security of third-party web sites or services, even where such other site is linked to our Services.
No computer system can be completely secure. Therefore, although metricHEALTH takes commercially reasonable steps to secure information, it cannot and does not promise, and Users should not expect, that information always will remain secure. In the event of a breach of the confidentiality or security of our Services, metricHEALTH will notify those affected if reasonably possible and as reasonably necessary and always in accordance with Applicable Law.
